These Terms of Service (“Terms”) govern your access to and use of eSuwq (السوق) and AlTojjar Academy (the “Academy”) websites, applications, and related services (collectively, the “Services”). By creating an account, purchasing a subscription/course, or using the Services, you agree to these Terms.

If you do not agree, do not use the Services.

1) Definitions

  • “eSuwq” / “we” / “us”: the operator of the Services.
  • “User” / “you”: any person or entity using the Services.
  • “Customer Content”: content you submit or generate in the Services (e.g., business profile data, product listings, messages, RFQs, documents, course submissions).
  • “AI Features”: features that use machine learning/LLMs for translation, suggestions, content enhancement, analytics, and related workflows.
  • “Subscription”: paid plan (e.g., Free/Pro/Enterprise) and related entitlements.

2) Who may use the Services (B2B)

The Services are designed for business and professional use. You represent that:

  • You are at least the age of majority in your jurisdiction, and
  • If you use the Services on behalf of a company, you have authority to bind that entity.

3) Accounts, security, and access

You are responsible for:

  • Keeping your login credentials secure and confidential,
  • All activity occurring under your account, and
  • Ensuring your account details are accurate and kept up to date.

We may suspend or restrict access to protect the Services, other users, or for security, fraud prevention, or compliance reasons.

4) Acceptable use

You agree not to:

  • Violate any applicable laws or regulations.
  • Misrepresent your identity, business status, verification status, certifications, or product information.
  • Upload or share content that is unlawful, infringing, deceptive, defamatory, or harmful.
  • Attempt to bypass security controls, rate limits, or access restrictions.
  • Reverse engineer, interfere with, or disrupt the Services (including scraping, automated extraction, or abuse of messaging/translation systems).
  • Use the Services to send spam, phishing, or malicious content.

We may remove content or suspend/terminate accounts for violations.

5) Marketplace and trust features (no guaranteed outcomes)

eSuwq may provide tools such as supplier verification tiers, badges, trust scoring, ranking signals, and AI recommendations. These tools:

  • Are provided for decision support and transparency,
  • Do not constitute a guarantee of identity, performance, quality, safety, legality, or suitability of any counterparty.

You remain responsible for your own due diligence and commercial decisions.

6) AI features, translations, and accuracy

6.1 AI outputs are suggestions

AI Features can generate recommendations or translated/enhanced content. AI may produce errors. You are responsible for reviewing and verifying AI outputs before relying on them in negotiations, listings, pricing, legal commitments, or payments.

6.2 English Pivot Architecture (EPA) and “System Record”

For cross-language messaging and trade workflows, the Services may maintain:

  • The original content, and
  • An English pivot version to enable cross-language operations and consistency.

Where the platform indicates that an English version is the “System Record” for a workflow (for example, certain dispute clarity or compliance needs), you acknowledge that platform operations may rely on the English pivot for analysis and auditing.

6.3 Legal/financial document language

Contracts, invoices, quotes, and other legal/financial documents (where generated by the platform) may be produced in English as the primary reference for international trade usage. Any translations are provided “as-is” for convenience only, unless explicitly stated otherwise.

7) Academy terms (education services)

7.1 Access and permitted use

Academy content is licensed, not sold, and is intended for the enrolled learner (or authorized seat) only. You may not:

  • Copy, redistribute, publicly display, resell, or share course materials beyond what is explicitly permitted,
  • Record and republish Academy videos or live sessions (if any),
  • Use Academy content to create a competing product.

7.2 Certificates

Certificates (if issued) reflect completion criteria defined by the Academy and do not constitute professional licensure or regulatory approval unless explicitly stated.

8) Subscriptions, billing, taxes, and payments (Stripe)

8.1 Payment processing

Payments may be processed by Stripe. You authorize us (and Stripe) to charge your selected payment method for purchases, renewals (if applicable), and any applicable taxes/fees.

8.2 Billing and invoices

You agree to provide accurate billing information and to keep it current. We may issue receipts/invoices electronically.

8.3 Refunds and cancellations

Unless stated otherwise in an order page, plan description, or a written agreement:

  • Subscription fees are charged in advance for the billing period.
  • Digital education content may be non-refundable once access is granted, especially where immediate access to proprietary content is provided.

If you want a specific refund policy (e.g., 7-day window, “no refund after X% course completion”), publish it as a separate Refund Policy and link it here.

8.4 Chargebacks and disputes

If a payment is disputed (chargeback), card networks may reverse funds and Stripe may debit the disputed amount from the merchant balance during the dispute process. You agree to cooperate by providing information we reasonably request to respond to disputes.
Stripe’s dispute process may hold or reverse funds while the dispute is ongoing.

9) Intellectual property

9.1 Our IP

We own the Services, including software, UI, design system elements, trademarks, and proprietary processes, except for Customer Content and third-party materials.

9.2 Your content

You retain ownership of Customer Content. By submitting Customer Content, you grant us a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, display, and distribute it solely to operate, secure, and improve the Services, including:

  • Displaying marketplace-facing listings and business profile data as you configure,
  • Operating messaging, translation, and AI enhancements you request,
  • Maintaining audit logs and compliance records.

10) Privacy

Our processing of personal data is described in our Privacy Policy. If there is a conflict between these Terms and the Privacy Policy regarding personal data handling, the Privacy Policy governs.

11) Service availability; changes

We may modify, suspend, or discontinue the Services (in whole or part), and may add or remove features. We aim for reliable operation, but do not guarantee uninterrupted availability or error-free performance.

12) Disclaimers

THE SERVICES (INCLUDING AI FEATURES AND ACADEMY CONTENT) ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Services will be uninterrupted, secure, or error-free,
  • AI outputs will be accurate, complete, or suitable for any particular use.

13) Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION.
  • OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

14) Indemnification

You agree to indemnify and hold us harmless from claims, liabilities, damages, and expenses (including reasonable legal fees) arising out of:

  • Your Customer Content,
  • Your use of the Services in violation of these Terms,
  • Your violation of applicable law or third-party rights.

15) Termination

You may stop using the Services at any time. We may suspend or terminate your access:

  • If you violate these Terms,
  • For security, fraud prevention, or compliance reasons,
  • If required by law or by third-party providers supporting the Services.

Termination may result in loss of access to content, including Academy access and platform tools, subject to any data export features and legal retention obligations.

16) Governing law; disputes

These Terms are governed by the laws applicable to the operator of the Services and/or the jurisdiction specified in an applicable order form (if any). Disputes should first be raised with support for informal resolution.
